TERMS AND CONDITIONS FOR ORGANISATIONS

(BUSINESSES, SCHOOL AND LOCAL AUTHORITY)

1. Priority of Terms

1.1 These Terms & Conditions form the contractual basis on which Autism & ADHD provides services. By commissioning services, the Client agrees to these terms unless otherwise agreed in writing." 1.2 By commissioning services, the Client accepts that the Provider’s terms take precedence and cannot be superseded by internal policies.

2. Payment Terms (Advance Payment Policy)

2.1 Advance Payment Requirement All sessions, consultancy, training, and support must be paid in full ahead of the appointment. Sessions are not secured until payment has been received. 2.2 Invoice Window A 21‑day payment window will be provided from the date the invoice is issued. If the scheduled session occurs before the invoice due date, payment must still be made before the session takes place. 2.3 Client Responsibility The Client is responsible for ensuring all internal processes (purchase orders, approvals, finance cycles) are completed in advance so that payment is received before the session. 2.4 Advance Payment Required For: • training • consultancy • urgent support • any session scheduled within 14 days Services will not be delivered unless payment is received in advance. 2.5 Non‑Payment If payment is not received ahead of the appointment, the Provider may: • cancel scheduled sessions • withdraw services • refuse future bookings • apply administrative charges for repeated non‑payment issues

3. Scope of Services Services may include:

• professional consultation • training • assessment support • case discussions • staff guidance • parent/carer liaison Sessions are led by Dr Annie Clements unless another team member is deemed more appropriate. The Provider does not offer emergency, crisis, or statutory services

4. Cancellations & Rescheduling

4.1 Commissioned Support Sessions (1:1, case discussions, consultancy)

• A minimum of 48 hours’ notice, excluding weekends, is required for cancellations or rescheduling. • Cancellations with less than 48 hours’ notice will be charged at the full session fee. • Failure to attend or engage will result in the full fee being payable.

4.2 Training, Workshops, Staff CPD & Organisational Bookings

• A minimum of 14 days’ notice, excluding weekends and bank holidays, is required for cancellations or rescheduling. • Cancellations with less than 14 days’ notice will be charged at the full training fee. This reflects preparation time, resource allocation, and the inability to re‑allocate the booking at short notice.

4.3 Non‑Attendance

If the Client fails to attend, prepare for, or engage with a scheduled session, the full fee remains payable. This includes internal communication failures.

4.4 Payment on Cancellation

Where cancellation fees apply, payment is due immediately.

5. Responsibilities of the Client

To help us provide the best possible service, we ask clients to: • ensure all relevant staff are informed of the booking • provide accurate information • ensure payment is made on time • complete internal processes in advance • provide a suitable environment for sessions or training • arrange suitable parking, permits, and fees for in‑person visits

Parking fines incurred due to lack of arrangements will be passed on to the organisation.

6. Respectful Conduct

We pride ourselves on working collaboratively and respectfully with all organisations. We therefore reserve the right to withdraw services if staff experience: • rude, aggressive, or inappropriate communication • unsafe working conditions • behaviour that compromises staff wellbeing

7. Termination of Services

Where possible, we will always seek to resolve any issues first. However, we reserve the right to withdraw or withhold services if • payment is not received ahead of the appointment • repeated cancellations occur • the Client fails to adhere to these Terms & Conditions • staff experience disrespectful or unsafe conduct

8 .Acceptance of Terms

By booking, commissioning or paying for any services provided by Autism & ADHD, the Client confirms they have read and accepted these Terms & Conditions.
